Current developments in the framework conditions for real estate private equity funds and their institutional investors

The structuring of real estate private equity funds offers many challenges from a tax and also regulatory perspective.
The 4th Funds Forum Frankfurt dealt with the tax framework that investors, fund initiators and advisors face. In addition to the effects of the qualification as a foreign investment fund, this includes questions of value added tax with regard to management remuneration as well as permanent establishment and interest barrier issues.
From a regulatory point of view, the expected forthcoming regulation by the European AIFM ("Alternative Investment Fund Managers") Directive, which will also cover managers of real estate private equity funds, must be taken into account. In addition, it is necessary to ensure the regulatory requirements of investors with regard to the ability of the investment to provide collateral.
The Funds Forum also dealt with whether and to what extent the Luxembourg location provides answers to some of these questions and which problems have to be addressed in the case of a Luxembourg structure.
